The Future's Bright - RDK's look at market activity in the Childcare sector over the past six months

It’s hard to believe that we are already almost half way through 2013, and so much has happened within the sector since this time last year. Although change is part of life and in the main undoubtedly a good thing, I’m pleased to note that one thing within our sector has remained consistent: its resilience and strength. As Redwoods Dowling Kerr have commented previously, the sector continues to outperform expectations – at RDK we are selling more Nurseries, not less, than in previous years – and the future for Nursery sales looks incredibly positive. We have always been proud that our sector is innovative, adaptable and prepared to meet the challenges presented, and the first part of 2013 has been no exception.

As predicted by RDK previously, levels of corporate activity have increased significantly and this is driving demand in the market, something which is evidenced by Bright Horizons’ acquisition of Kidsunlimited in a £45m deal last month. The deal brings the Bright Horizons nursery portfolio in the UK to a total of 203 nurseries, with a capacity to provide care for around 15,500 children. This is a shining example of the buoyancy in the sector and comes hot on the heels of Treetops Nurseries’ acquisition of the Toybox Nurseries portfolio. The Treetops deal was facilitated by Redwoods Dowling Kerr alongside the Altius Corporate Management team, Paul Miller and Andrew K Steen. We have worked closely with Treetops to understand the group’s strategic acquisition requirements and the type of settings which would provide a good overall fit. Treetops wished to extend their already impressive portfolio with nurseries that have an established reputation for excellence in Childcare with a strong team of staff already in place, that are well ran and which are synergistic geologically for the group. Redwoods Dowling Kerr and Altius Corporate researched the market and identified the Toybox nurseries as a strong strategic acquisition, and entered into discussions with the vendors who were receptive to our approach. Discussions progressed at a pace and thanks to the professionalism of all parties involved in the transaction the deal itself took less than six months to complete.

The acquisition is a strong strategic fit for Treetops and provides a superb opportunity, not only for growth but for Treetops to expand their existing portfolio with premier nurseries which have been run by the vendors to the highest standard, with fantastic staff training, facilities and quality throughout.

We now expect the latest corporate Bright Horizons and Treetops deals to spark activity along the wider acquisition chain and stimulate sales in 2013. Indeed, we are already in discussions with several more medium sized groups with regards to both acquisition and sales plans.

There have been other notable transitions within the market. We have noticed a trend whereby we are experiencing quick sales for Nurseries that are being marketed for less than £100,000, which are popular with first time buyers and new entrants to the sector. As an example, we recently sold a West Midlands Day Nursery within this price bracket, which sold for its asking price after receiving an offer just two weeks after coming to market. In addition to this, contrary to expectation, under-performing nurseries can and do sell quickly: one such Nursery recently went from offer to exchange within three weeks, going on to complete within just six weeks.

Across the market Leasehold remains the most popular type of sale due to their affordability: 78% of RDK’s sales last year were either Leaseholds or Occupation Agreements. We are working with increasing numbers of vendors who are looking to lease their business and retain ownership of the bricks and mortar. This gives the vendor the benefit of realising the sale of the business whilst retaining an ongoing income with the option of freehold sale at some later point in the future. That said, Freehold sales are still at higher than anticipated levels; 22% of our sales last year were Freehold opportunities. Another point that is worth noting is the so-called ‘North South divide.’ It is a long standing belief that market sale activity in the South exceeds that in the North, but in fact our experience is that this is far from the case. In 2012, 36% of Redwoods Dowling Kerr’s sales were Southern sales, 34% were Northern sales, and 30% were sales in the Midlands. Consequently activity levels are strong nationwide. Interest has come from a wide selection of buyers in 2012 and the first portion of 2013, with a strong mix of new, existing and corporate buyers involved in deals. We have found that first time buyers are usually either professionals currently working within the childcare sector who now have the funding to enable them to invest, or people who are looking to invest from another sector, such as Care Home operators. Large groups continue to grow on the whole, although some are also rationalising the portfolios and choosing to sell off poorer performing units. There is also growth within the wider childcare sector, such as in Private Schools and specialist Children’s Homes.

We expect Nursery groups to continue to expand over the next year, particularly following the previously mentioned Treetops and Bright Horizons deals. Overall we expect activity levels to augment in 2013 with the increased buyer activity impacting across the full acquisition chain. For a number of years now, RDK has always maintained a message of positivity, whilst others have had a more pessimistic outlook, and we are delighted that we continue to be involved in deals which not only support, but emphasise the strength of our industry.

A Further TWO Care Sales from RDK

During a time where uncertainty seems to shroud our economy, Redwoods Dowling Kerr is delighted to announce the sales of both Castle View Care Home in Dudley, and Rigifa Home Care Services, based in Perth & Kinross in Scotland.

These sales follow RDK’s completions of The Croft Care in Lancashire, Holmesdale House in Sussex, and The Willow Care home in Worcestershire – all of which were recently sold in quick succession.

Castle View Care Home received multiple offers from different parties and was sold by Redwoods Dowling Kerr on behalf of an existing operator wishing to downsize their existing group of care homes. The business was purchased by Miss Kay Taylor and her business partner. Miss Taylor who is a registered nurse and health visitor commented:

“Thank you to Redwoods Dowling Kerr for all their help and support during our purchase of Castle View Residential Care Home over the last few months.

“Although RDK was involved in selling the property (and I am the buyer), the company has worked with me very closely during the last few months and together we have managed to resolve any problems to the satisfaction of all parties.

“I cannot thank RDK enough for all their help and would recommend the company to anyone without hesitation. Hopefully, we can work together again soon.”

Redwoods Dowling Kerr’s Director of Sales, Lucie Wright, said:

“Although this is the partnership’s first time at the helm of a care home, both buyers are experienced within the care sector which stood them in good stead when it came to securing financial backing. The more experience a buyer has, the more willing banks are to provide funding.”

Shortly after the sale of Castle View Care Home, Redwoods Dowling Kerr went on to sell Rigifa Home Care Services, the sale of which completed at the beginning of April. The Scottish domiciliary care provider was marketed using Redwoods Dowling Kerr’s confidential Information Memorandum process and received substantial interest, accepting an offer after just two months of marketing. Rigifa was sold to an existing provider, Mr. Arthur McClean, using a combination of funding and deferred payments. According to Mrs Wright: “It is key in this market to find unique solutions to the limited bank funding available, and the sale of Rigifa is a perfect example of how such obstacles can be overcome.”

Mrs Wright adds:

The successful Derbyshire nursery offers the highest standards of childcare and education, working alongside Early Years Foundation Stage Guidelines. Redwoods Dowling Kerr is delighted to announce the sale of a Castle View Care Home in Dudley, which received five offers from different parties and was sold to a first time buyer.

The sale of Castle View closely follows on from the completions of The Croft Care in Lancashire, Holmesdale House in Sussex, and The Willow Care home in Worcestershire – all of which were recently sold in quick succession by RDK.

Lucie Wright, Redwoods Dowling Kerr’s Director of Sales, said: “We are pleased to see that RDK is matching our success of 2012 with a strong start to 2013 in terms of care home sales.

There is potential for the new owner to increase the registration numbers by converting the attic space or developing the side garden area.

The business was purchased by Miss Kay Taylor, a qualified and registered General Nurse and Health Visitor, who is currently employed as the designated nurse for ‘Safeguarding Children’- a senior position within the NHS. This will be Miss Taylor’s first time at the helm of a Care Home, although she has previously worked in nursing homes in the past and said: “Owning a nursing or Care Home is something that I have always wanted to do and the time is now right for me personally to pursue this.”

The Great Wyrley Nursery is located within the grounds of Wyrley Football Club and enjoys large outdoor facilities, and the Hednesford setting is located in a bustling commuter area opposite a train station. The nurseries are registered for 60 and 27 children respectively. The business was sold to a mother and daughter team who were drawn to the unique opportunity offered by Puddleducks Day Nurseries.

Cheekies Private Day Nursery has been sold by Redwoods Dowling Kerr after receiving its first offer inside a week of coming onto the market, and accepting a suitable offer within two months.

The nursery has operated in the locality for more than 10 years and demonstrates historically high occupancy levels as well as a solid reputation for providing first class childcare.

The new owner will run the nursery with her son and future daughter in law, who already manages another well established nursery in the area.

Redwoods Dowling Kerr and Altius Corporate Sales are delighted to announce the acquisition of Bedfordshire chain Toybox Day Nurseries, by one of the leading corporate nursery groups, Treetops Day Nurseries. The acquisition was facilitated by Paul Miller, and Andrew Steen of Altius Corporate Sales, alongside Lucie Wright, Director of Sales for Redwoods Dowling Kerr.

Treetops Nurseries will take over 3 of the award-winning Toybox Nurseries; Biggleswade, Stotfold, and the original Sandy site, which was established in 1998. Two of the nurseries were acquired on a freehold basis, whilst the other was attained on a 99 year-long leasehold basis. The biggest nursery is the purpose built Biggleswade site, which is registered for 148 children. All the nurseries have an excellent reputation for care and development, and two of the three nurseries have been awarded Outstanding in previous Ofsted reports.

Redwoods Dowling Kerr and Altius Corporate were approached by Treetops and understood the group’s strategic acquisition requirements. Treetops wishes to extend their already impressive portfolio with nurseries that have an established reputation for excellence with a strong team of staff already in place, and which are a good geological fit for the group.

Redwoods Dowling Kerr and Altius Corporate identified these qualities within the Toybox portfolio and entered into discussions with the vendors in August 2012. The deal with the Treetops was concluded in February 2013, taking less than six months to complete.

This deal and the length of time to completion reinforces Redwoods Dowling Kerr’s longstanding belief that the market continues to outperform expectations. The sale comes in quick succession of a similar deal towards the end of last year

Wood You Believe It? RDK Sells Yet Another Nursery

Redwoods Dowling Kerr is ecstatic following the recent sale of Woodlands Nurseries, a highly regarded nursery business operating in Horncastle and Lincolnshire, completed within 6 months of coming onto the market.

Originally established in 1990, the business has acquired an enviable reputation for delivering high levels of care. Consequently, the occupancy levels are historically high and the nursery is registered for 84 children between the ages of 0-5 years. Managing Director Andrew Steen Gives Insight Into Childcare Sector Market

The National Day Nurseries Association recently published a gloomy report into the sustainability of the nursery sector, revealing that 13 per cent of nurseries expect to make a loss this year.

However Andrew Steen, managing director of Redwoods Dowling Kerr (RDK), which specialises in buying and selling nurseries, believes the sector is very resilient and is full of optimism for the future. He describes it as a very fluid market with RDK selling at least one nursery setting a week.

“Whatever happens there will always be movement in the market and there are always people willing to consider opportunities. It is a very good time to buy or sell in 2013, we have plenty of new buyers who are missing out on opportunities to buy in hot areas. Some of these nursery settings are receiving multiple offers in a short space of time,” he says.

This is backed up by data showing the market which is worth £1.4bn grew by one per cent last year.

In terms of activity this year, Mr Steen believes it will largely come from the smaller nursery chains that have from five up to around 15 early years settings.

“My forecast is that these operators will double in size during the next five years, these operators usually have strong track records and will find funding for growth easier to access. With regard to the banks, they are listening to operators with a proven history and it is now also getting easier to secure funding if you have a good track record and experience in the sector.”

He also believes single site settings will reduce in number in the larger population areas.

First time buyers will continue to come into the market. “I find that these are either professionals who have been working in the childcare sector and now have the funding to enable them to buy or people who are looking to invest from another sector, eg. care home operators wishing to invest in another sector. For first time buyers, there is a huge opportunity for people as from a finance view point it makes sense to invest equity into a business that makes money rather than receive low interest from the bank.”

Innovation is key to Mr Steen, as in 2007 and 2008, Redwoods Dowling Kerr did struggle and suffered from the down turn in property sales like the majority of property agents in the UK.

The position was compounded for RDK, says Mr Steen “as the business was not being managed in an innovative way”.

“When we acquired RDK out of administration, we focused heavily on innovating the way that nursery settings are sold. Historically most nursery settings had been sold on a freehold basis, during the banking crisis this became very difficult due to the squeeze on credit liquidity in the market place. As part of the RDK innovative approach we worked with our vendors to introduce the multiple methods to sell a nursery. One example which proved very successful was when freehold owners sold the lease to their setting and retained the freehold. This allowed the vendors to benefit from the rental income whilst retaining the bricks and mortar asset for sale in the future.”

Many people dream of setting up a nursery, without realising the full implications of running a childcare business. In fact, Sarah Steel, founder of the Old Station Nursery chain said: “If I had a pound every time someone has told me they would like to run their own nursery, I would be a millionaire.”

Mr Steen suggests all potential nursery owners should go into it fully genned up on what running a nursery entails.

He advises: “If you are thinking of buying a nursery, make sure you do your research, it is one thing being a practitioner in childcare, it is another thing running a business. Talk to successful nursery owners and find out what they are doing which has resulted in a successful business.

“Once you have found a potential setting make sure you mystery shop the competitors, what are they doing which you like? What are they doing which you can improve on? What will your unique selling points be? – when you have the answers to these questions then you can produce your own marketing plan and start to set yourself three, six, nine and 12 month targets. These targets will help ensure that you are on the right track to deliver the goals which you set yourself.”

In terms of selling, plan ahead, if you want to exit in 2014, you really want to be coming onto the market six to twelve months before and make sure you talk to a good agent. It is also vital to have your accounts in order.

He has found RDK is getting more and more involved with giving advice to people wishing to buy a nursery and would like to see the Government offering more of this type of support.

Mr Steen now has a personal interest as well as a professional interest in the nursery sector as his four-year-old daughter is at nursery so he has been keeping up on the latest childcare reforms put forward by the Government in its recent report ‘More Great Childcare’.

In terms of the hot topic of the moment which is the proposal to reduce staff to child ratios, he says: “In addition to my role in the sector and speaking as a parent, I firmly believe that cutting the ratios of staff to children would not benefit the sector, the parents or the nursery owners and staff. Furthermore, I would be surprised if it led to nursery fees being reduced for parents, as the nurseries would have to increase their staff training budget to train staff to work to different ratios. A nursery setting is very different from out of school clubs as they only have children for circa 2.5hours a day which is workable on different ratios, but working on reduced ratios in nurseries for circa nine hours a day puts huge pressure on the staff. I personally think the ratio change will be difficult to push through and believe nursery owners may choose not to reduce their ratios in favour of providing high levels of care.”

Mr Steen believes the future for Redwoods Dowling Kerr is “incredibly positive” and certainly the nursery market is being helped by the fact that the Coalition Government has taken on board many of Labour’s spending pledges for the early years particularly extending three to four-year-old funding to 15 hours and increasing funding for disadvantaged two-year-olds.

He concludes: “2013 will be a fantastic year for both Redwoods Dowling Kerr and myself, on a business level we have a number of interesting projects which we are working on and on a personal level I am looking to push the boundaries and undertake a Tough Mudder Challenge in October.”

The Tougher Mudder Challenge is a gruelling endurance race created by the British Special Forces, and described as “probably the toughest event on the planet”. It includes the Electroshock Therapy challenge which involves running through live electric wires, the Fire Walker challenge which is running through flaming bales of hay and The Gauntlet challenge, which involves going up a steep ski slope while being sprayed by high-pressure hoses.

Running Redwoods Dowling Kerr will be like child’s play after that!

The Government recently launched the ‘Green Deal’ scheme to help care homes improve the energy efficiency of their buildings without any upfront cost.

Climate minister Greg Barker, called the ‘Green Deal’ scheme, which is being made available to all homeowners, landlords and businesses, “the most ambitious home improvement programme since the second world war”.

The Government’s flagship plan hopes to improve the energy efficiency of 14m homes by 2020, reducing CO2 levels and creating 250,000 new jobs.

Finance plans for the Green Deal become available on 28 January and Andrew Steen, the managing director for business brokers Redwoods Dowling Kerr, is keen to see that care homes are among those that make the most of the savings that can be made from embracing green energy.

Mr Steen comments: “In the current climate, one of the biggest problems faced by care operators is the rising cost in the day to day running of a care accommodation.

“Cutting costs can be difficult, especially without compromising the overall quality of the home. However, operators are often unaware of the saving they could make by simply increasing the energy efficiency of their care home.

“It’s understandable that improving energy efficiency may not be at the top of everyone’s agenda given the hard work put in by care operators and daily challenges faced, but the long term benefits of reducing carbon emissions can cut running costs considerably.”

Embracing the Green Deal offers property owners the chance to take energy saving measures for no upfront cost, before using pre-agreed charges to pay off the costs over an allotted period of time. The cost will be recouped from savings made on their energy consumption and collected through energy bills. Green improvements can be achieved gradually, in line with up-to-date advice regarding the best methods of installation and modernisation.

It would not be accurate to suggest that care homes providers have yet to wake up to green energy prospects, however.

Passivhaus at Juniper House, Brackley

Last summer saw Barchester Healthcare open a new Brackley care home that incorporated an innovative boiler with its own heat recovery system – at Barchester Juniper House.

Undertaken in partnership with property owners Castleoak, together with the Bridges Sustainable Property Fund, the passivhaus concept originated in Germany as a way of achieving energy efficiency by reducing the reliance on space heating or cooling, together with the use of low-energy lighting, infra-red sensors and time switches.

The building’s green credentials are being monitored in partnership with Cardiff University to see if it fulfils is designer’s aims of recovering the cost of the development through energy savings over a period of eight years.

“With the number of older people rising rapidly over the next generation, our buildings need to be as sustainable and efficient as possible” commented director of development at Barchester, Ken MacKenzie.

Partner and head of property funds at Bridges Ventures, Simon Ringer, commented: “This is one of a series of care home developments that we have undertaken in partnership with Castleoak. We are delighted with an outcome which provides our investors with an attractive return generated by both development activity and long term, indexed linked income whilst delivering one of the UK’s most sustainable healthcare developments.”

Newfield Lodge

The Castleford care home Newfield Lodge, which opened in August 2012, is another recent care development to seek out green innovation throughout its design aspects.

Designed by Ideal Care Homes and built by LNT Construction, the building makes the most of ground source heat pumps, underfloor heating and solar energy in order to achieve a 21 per cent energy reduction when compared to a similar-sized care home of less modern design.

A company statement reads: “The construction of Newfield Lodge heralds a new era of care for older people in Castleford and the development has been selected as the first of Ideal Care Homes’ to have an additional range of energy efficiencies.

“The residential care homes are designed and developed to be fit-for-purpose and future-proof with every thought given to the well-being of the people who choose to live with them.”

West Hall

Innovative heating measures were also the focus of Anchor’s West Byfleet care home West Hall.

This £30m development included the £280,000 installation of ground source heat pumps that collect energy from the ground via a network of unseen pipes, transferring ‘low grade energy’ to the heating of a 117-room facility and saving the home an estimated £14,350 in heating bills every year.

Rob Gardiner, the managing director of Econic – the green energy suppliers who Anchor collaborated with at West Hall – commented: “We have been delighted to have played a part in the creation of what is being heralded as a major advancement in the care of older people. “Anchor’s commitment to renewable energy has enabled us to save them money, generate revenue through the RHI, secure their future energy costs and significantly reduce their carbon footprint.

“We have worked closely with Anchor’s team to produce a system harnessing the latest technology that will bring real benefits to the residents.

“Being a not-for-profit organisation and a charity, reducing energy bills is obviously important to the company in its creation of the home as is the provision of a safe and comfortable environment for the residents.”

Energy Performance Certificates

Mr Steen also highlights the benefits of Energy Performance Certificates, which the Government last year made a legal requirement to anyone selling or letting a property.

He says: “The certificate not only rates the energy efficiency of a building, but highlights areas where the efficiency can be improved and energy costs can be reduced, cutting out some of the leg work.

“The Green Deal can then help operators pay for energy improvements and make savings in the long run. We have noticed, for example, increasing numbers of solar panels being installed in care homes across the UK.”

Interested care homes owners can find out more and apply for Green Deal registration via the Department of Energy and Climate Change’s website, www.decc.gov.uk, with energy and climate change minister Greg Barker promising that successful applicants will receive a Quality Mark that consumers can respect.

Mr Barker comments: “The opening of the Green Deal register will enable businesses to start becoming Green Deal authorised and the Green Deal Quality Mark will show they have met our standards. Crucially, this will protect consumers, who will know that anyone displaying the Quality Mark has been through the required process to become authorised.”

The Homes and Communities Agency estimates that up to £3bn is thrown away in energy costs every year and welcomes a fresh drive to fight against this level of wastage.

Its deputy chief executive Richard Hill comments: “The Green Deal demonstrates the Government’s determination to tackle carbon emissions from domestic and commercial buildings, and affordable housing providers have a pivotal role to play in greening our homes.

“We all know that reducing our impact on the environment can often save money at home, however, the Green Deal goes further, and provides an innovative way of removing the barrier of high upfront costs to residents and creates new jobs in the sector.”

In the spirit of a greener future, technical installations manager Nigel Day of Energie Solutions shares with us his ‘Top Tips for Energy Saving’:

Heating

Sixty per cent of a typical energy bill is spent on heating.

• Control the heating, timing schedules and temperature set points should be reviewed regularly and scheduled specifically to the occupants.

• Control systems should be zoned with each zone having its own temperature set point. Set back controls provide a lower secondary temperature setting where heating is required near 24-7.

• Stop the loss, check insulation levels meet or exceed 270mm in the loft, ensure cavity walls are insulated and heating pipes are lagged with a quality insulation material.

Turn off large off large boilers in summer and consider utilising immersion heaters or localised instantaneous water heaters.

Lighting

20 per cent of electricity generated in the UK is used for lighting.

• Switch off lights when not in use and label switches to encourage people to turn them off when they leave the room.

• Measure light levels to ensure light is not being wasted!

• Lighting controls such as occupancy sensors, photocells and time switches are cheap to buy and easy to install – automatically controlling the lights with no human interaction.

• Compact fluorescent and LED lamps have significantly reduced in cost over the last one to two years and offer considerable costs savings over the lifetime of the lamp.

Help is available

Check for the availability of capital grants for business to help cover the cost of improvements

• The Government’s new Green Deal scheme is now available for financing energy efficiency improvements.

• There are now many products available to further increase energy savings such as voltage optimisation and boiler management units.

• Renewable technologies have significantly improved and capital costs have reduced in the past 12 months, with capital grants and incentives widely available.
